I acknowledge that I am joining the Momentum Makers Group as a "Participating Member" and that Influx Catalysts acts as the "Facilitator." This Agreement establishes a mutual understanding of confidentiality, non-competition, non-circumvention, and non-solicitation to protect proprietary information, business strategies, client relationships, and intellectual property of all involved parties. Key Terms: 1. Purpose The purpose of this Agreement is to establish a mutual understanding of confidentiality, non-competition, non-circumvention, and non-solicitation among the Participating Member and the Facilitator to protect the proprietary information, business strategies, client relationships, and intellectual property of all involved parties. 2. Definition of Confidential Information Confidential Information includes, but is not limited to, all content shared during weekly sessions, within the Slack channel, standard operating procedures (SOPs), business and influencer strategies developed over the past 8 years, teaching materials, and any proprietary information or intellectual property (IP) disclosed in a variety of formats. Members are encouraged to utilize these strategies and SOPs within their own businesses but are prohibited from sharing these resources outside of the group or disclosing them to non-members. The IP related to materials shared by Influx or any members remains the property of the originating party unless otherwise agreed in writing. 3. Non-Disclosure of Confidential Information Participating Members are prohibited from recording, downloading, or capturing the content shared during weekly sessions or within digital channels such as Slack. Confidential Information is for active members only and must not be accessed post membership. Upon termination of membership, participants must destroy or return all Confidential Information in their possession and delete permanently any downloaded materials from personal storage or devices. 4. Non-Compete and Non-Circumvention Participating Members agree not to compete directly or indirectly with other members by starting similar groups or offering influencer marketing services for outside brands. Members also agree not to initiate the sale of products or services that directly conflict with those offered by other members, especially if these were learned about through the group's activities. A 'similar group' is explicitly defined as any mastermind or collective endeavor aimed at teaching or providing services related to working with influencers and social media marketing. 5. Non-Solicitation For the duration of their membership and for 12 months following the end of their annual subscription, Participating Members agree not to solicit business from, engage in business with clients, or hire employees introduced through the group's activities without express written permission from the Facilitator. 6. Term and Termination This Agreement is effective upon the date of signing and remains in effect until a member exits the group or the group is dissolved. All confidentiality and non-solicitation obligations shall survive the termination of the membership for a period of forty-eight (48) months. In the event of a breach, the non-breaching party reserves the right to seek all remedies available by law, including but not limited to damages, injunction, and attorney's fees. 7. Governing Law This Agreement shall be governed by the laws of Colorado, USA, without regard to its conflict of laws principles. 8. Dispute Resolution In the event of a dispute, the Parties will first attempt to resolve it through negotiation. Failing resolution through negotiation, the Parties will proceed to mediation and, if necessary, follow with binding arbitration in accordance with the rules of the American Arbitration Association. The prevailing party is entitled to recover reasonable attorneys' fees and costs incurred. 9. Protection Against Bypassing Confidential Information Confidential Information does not include information that is publicly available, lawfully in the possession of the Member before disclosure, or obtained from a third party not bound by a duty of confidentiality. 10. Data Protection and Privacy The Parties commit to adhering to all relevant data protection and privacy laws and regulations, ensuring that personal and business data shared within the group is managed with utmost security and confidentiality. 11. Non-Transferability of Membership Membership rights and privileges are non-transferable and are solely for the benefit of the business owner who is the signatory under this agreement. 12. Amendment and Waiver No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by all Parties. 13. Entire Agreement This document constitutes the entire agreement between the Parties regarding its subject matter and supersedes all prior understandings and agreements, both written and oral.
